Terms of Service

1. This agreement

YAAA is provided by NxisAI LLC, a Michigan limited liability company (“NxisAI”, “we”, “us”). By installing or using YAAA you agree to these terms and to our Privacy Policy. If you don’t agree, don’t use YAAA.

You must be at least 18 years old and live in the United States to use YAAA while it is in beta. You use YAAA for yourself, as a shopper. Merchants who join the merchant waitlist or install the YAAA sales channel do so under separate terms.

2. What YAAA does

YAAA lets an AI agent you use (such as Claude Code) find products in online stores, get price quotes, watch prices, and set up recurring orders for you. When a purchase is ready, YAAA gives you a confirm link. A purchase happens only when you open that link and complete the store’s own checkout, where you pay the store directly with whatever it offers, such as Shop Pay, Apple Pay, Google Pay, or a card.

YAAA is not the seller. The store sells the product and is responsible for it, for the order, shipping, taxes, returns, refunds, and warranties, under the store’s own terms. Your contract of sale is with the store. NxisAI never takes your payment or holds your money, and YAAA adds nothing to the store’s price.

3. Your AI agent

You choose the AI agent that uses YAAA, and it acts on your instructions. You’re responsible for what you ask it to do and for checking a quote before you confirm it. The agent is a third-party product under its maker’s terms; NxisAI doesn’t control it and isn’t responsible for its mistakes, such as picking the wrong product, size, or quantity.

YAAA lets you set spending limits, and it won’t quote a purchase that would go over them. Limits are a safeguard, not a substitute for reviewing what you confirm.

4. Purchases, prices, and stores

Product details, images, prices, stock, and shipping options come from stores and from Shopify’s catalog. We show them as we receive them and can’t guarantee they’re accurate or current. Prices and stock can change between a quote and your checkout; the store’s checkout shows the final amount. Some quotes are marked as estimates (for example when a store is busy), with tax and shipping shown at checkout.

Confirm links expire. A store may refuse or cancel an order, and price watches and recurring orders may not run if a store or YAAA is unavailable. YAAA works only with stores it can buy from, which today are Shopify stores that support agent checkout.

5. Your account

YAAA creates an account for you without asking for your name or email. Your recovery key and any passkeys you add are the ways back into it. Keep them safe: we can’t restore an account without one of them. You’re responsible for activity from your devices and agents. If you think someone else is using your account, sign their devices out on the web desk and tell us at support@nxis.ai.

6. Fees

YAAA has a free plan and an optional paid plan, yaaa Plus (section 7). You pay stores directly for what you buy, and YAAA adds nothing to a store’s price. If we start charging for anything else in YAAA, we’ll tell you before any charge applies, and you can choose not to pay for it.

7. yaaa Plus (paid plan)

What it is. yaaa Plus is an optional subscription that raises your account’s limits: more price watches, filter watches, and restocks at a time, more quotes a day, more frequent checks, and longer watches. The current limits of each plan are in the docs. The free plan stays free, and you don’t need yaaa Plus to use YAAA.

Price and taxes. yaaa Plus costs $6.99 a month or $59 a year, in US dollars. Prices don’t include sales tax; we add it where it applies, based on the billing address you give at checkout. The price, any tax, and the total are shown before you pay. You’re responsible for any other taxes that apply to your purchase.

Automatic renewal. yaaa Plus renews automatically at the end of each billing period, monthly or yearly depending on the plan you chose, and we charge your payment method the price in effect for that renewal, plus any tax, until you cancel. You agree to this at Stripe Checkout, where the price, the billing period, and the automatic renewal are shown before you pay. For a yearly plan, we email you a reminder before each renewal, at the email address you gave at checkout.

Cancelling. You can cancel at any time, online, as easily as you subscribed: run yaaa plus manage, or use the link in any receipt email, and cancel in the billing portal. You don’t need to contact anyone. When you cancel, you keep yaaa Plus until the end of the period you’ve already paid for, and you aren’t charged again. Your account then returns to the free plan; watches and restocks you already have keep running until they end.

Refunds. Payments are non-refundable, except where the law requires a refund. We may refund a payment at our discretion, for example a charge you didn’t intend; to ask, email support@nxis.ai within 14 days of the charge with your YAAA account ID (yaaa whoami).

Price changes. We may change the price of yaaa Plus. We’ll email you at least 30 days before a new price applies to you, and it applies only from your next renewal after that notice. If you don’t want to pay the new price, cancel before that renewal.

Failed payments. If a renewal payment fails, our payment processor retries it, and we tell you so you can update your payment method. You keep yaaa Plus for 7 days while it retries. If the payment hasn’t gone through by then, your account returns to the free plan; if a later retry succeeds, yaaa Plus resumes.

Plan limits. We may change what the free plan and yaaa Plus include. We’ll give you notice, for example by email, on yaaa.io, or in YAAA itself, before a change that reduces what yaaa Plus includes applies to you, and you can cancel if you don’t want it.

Who charges you. YAAA is operated by NxisAI LLC, which sells yaaa Plus. Payments are processed by Stripe, under Stripe’s terms; we never receive your full card number. Charges appear on your statement as YAAA.IO.

Your agent. Your AI agent can’t subscribe for you. It can give you the Checkout link, but you open it and pay yourself.

8. Acceptable use

Don’t use YAAA to:

• buy for resale in bulk, run resale bots, or get around a store’s purchase limits, queues, or rules;
• scrape or harvest data from YAAA or from stores, or overload them with requests;
• create accounts in bulk, or get around rate limits or security measures;
• buy alcohol, tobacco or nicotine products, cannabis or CBD, weapons or ammunition, fireworks or explosives, adult products, medicines or drugs, or counterfeit goods (YAAA leaves these out and refuses them, and may not always catch one; you’re still responsible for what you buy);
• break the law, violate a store’s terms, or infringe anyone’s rights;
• interfere with YAAA, probe it for vulnerabilities without our permission, or reverse engineer it except where the law allows.

9. Beta

YAAA is in beta. Features may change or stop, and the service may be unavailable at times. We may change or end the beta, and we’ll try to give you notice before we end it.

10. Other services

YAAA works with services we don’t control, including stores, Shopify, payment services such as Shop Pay, Apple Pay, and Google Pay, Stripe (for yaaa Plus), your AI agent, and Discord if you send alerts there. Your use of them is under their terms and privacy policies, and we aren’t responsible for them.

11. License and ownership

We give you a personal, non-exclusive, non-transferable, revocable license to install and use YAAA under these terms. NxisAI owns YAAA and its name, software, and content. YAAA includes open-source components, such as the Node.js runtime, which are licensed under their own terms (included with the download). If you send us feedback, we may use it without owing you anything.

12. Ending your use

You can stop using YAAA at any time: uninstall it, and email support@nxis.ai if you want your account deleted. Uninstalling doesn’t cancel yaaa Plus; cancel it first (section 7). We may suspend or end your access if you break these terms, if needed to protect YAAA, stores, or other people, or if we end the service. Sections 4, 11, and 13 through 18 continue to apply after your use ends.

13. Disclaimers

YAAA IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, NXISAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT YAAA WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE. PRODUCTS YOU BUY ARE COVERED ONLY BY THE STORE’S TERMS AND ANY WARRANTY THE STORE OR MANUFACTURER GIVES.

14. Limits on liability

TO THE FULLEST EXTENT THE LAW ALLOWS: NXISAI WON’T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL; FOR PRODUCTS, ORDERS, DELIVERY, OR ANYTHING ELSE A STORE PROVIDES; OR FOR WHAT YOUR AI AGENT DOES. NXISAI’S TOTAL LIABILITY FOR ALL CLAIMS ABOUT YAAA IS LIMITED TO THE GREATER OF $100 OR WHAT YOU PAID NXISAI FOR YAAA IN THE 12 MONTHS BEFORE THE CLAIM.

Some states don’t allow some of these exclusions or limits, so they may not all apply to you.

15. Indemnity

If a third party brings a claim against NxisAI because you broke these terms or the law while using YAAA, you agree to cover NxisAI’s resulting losses and reasonable costs, to the extent the law allows.

16. Disputes and arbitration

Talk to us first. Before starting a claim, email support@nxis.ai with your name, how to reach you, and what you’re asking for. We’ll try in good faith to resolve it within 60 days.

Arbitration. If we can’t resolve it, you and NxisAI agree that any dispute about YAAA or these terms will be decided by binding individual arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules, instead of in court. The Federal Arbitration Act governs this section. The arbitration may be held by video or phone, or in the county where you live. The arbitrator can award the same individual relief a court could.

No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class, collective, or representative proceeding, and the arbitrator may not combine claims of different people. You and NxisAI each give up the right to a jury trial.

Exceptions. Either of us may bring an individual claim in small-claims court, and either of us may ask a court to stop infringement or misuse of intellectual property.

Many claims at once. If 25 or more similar claims are filed by or with the help of the same lawyers or organization, they will be handled in batches of up to 50, one batch at a time, with one arbitrator per batch, and filing fees for later batches are due only when that batch starts.

Opting out. You can opt out of this arbitration agreement within 30 days after you first use YAAA by emailing support@nxis.ai with your name and your YAAA account ID (shown by yaaa whoami) and saying you opt out of arbitration.

If the class-action waiver is found unenforceable for a claim, that claim will go to court, not arbitration. Any claim that goes to court will be in the state or federal courts located in Michigan, and you and NxisAI agree to their jurisdiction. These terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules.

17. Changes to these terms

We may update these terms. We’ll change the date at the top, and for material changes we’ll give notice, for example on yaaa.io or in YAAA itself, at least 14 days before they apply. If you keep using YAAA after changes apply, you accept them. Changes to Section 16 don’t apply to disputes already raised.

18. General

These terms and the Privacy Policy are the whole agreement between you and NxisAI about YAAA. If part of these terms can’t be enforced, the rest still applies. Not enforcing a term isn’t a waiver.
